1. Introduction Seavium provides a comprehensive platform that facilitates chartering, vessel search, matchmaking between Charterers and Owners, and Business Intelligence services related to maritime operations. These Terms and Conditions apply to all services and interactions through the Seavium platform, including, but not limited to, vessel chartering, inquiries, communications, and data sharing. By registering and using the Seavium platform, users accept these terms and conditions by clicking “Accept” during the registration process.
2. Definitions – Charterer: The individual or company searching for and chartering vessels through Seavium. – Broker: The intermediary between Charterers and Owners, assisting in vessel negotiations and facilitating agreements. – Owner: The individual or company owning vessels available for charter and listed on Seavium.
3. Access and Registration – Account Creation: Users must provide accurate and truthful information when creating their accounts. Any false or misleading information will result in immediate account suspension and potential legal action. – Discretionary Acceptance: Seavium reserves the right to accept or decline any registration at its sole discretion. – Liability: Seavium cannot be held liable for any consequences arising from the creation of a fake or misleading account. Users are solely responsible for securing their login credentials.
4. User Obligations – Accuracy of Information: Users are responsible for providing up-to-date and accurate information on their profile. – Account Security: Users must keep their account credentials confidential and are solely responsible for all activities that occur under their account. – Proper Usage: The Seavium platform must not be used for illegal purposes, fraud, or any misuse that could damage Seavium’s reputation or operations. Seavium shall not be held liable for any misuse or illegal activity conducted on the platform.
5. Services Provided by Seavium Seavium acts solely as an intermediary between Charterers and Owners, facilitating introductions, vessel search, and other services. Seavium operates under the business model of a broker or business introducer, but does not get involved in contractual disputes between Charterers and Owners, except under the extended service levels (i.e., Full-Service support).
– Plan 1: Self-Service at a rate of 1.5% commission (basic matchmaking and platform access). – Plan 2: Assisted Service at a rate of 2.5% (personalized assistance in the vessel search and matchmaking process). – Plan 3: Full-Service at a rate of 5% (end-to-end assistance including legal advice, contract management, and 24/7 support).
6. Pre-Contract Agreement and Exclusivity By submitting a charter request through Seavium, the Charterer agrees to engage with Seavium throughout the process. Seavium will act on behalf of the Charterer to approach Owners and negotiate. As such, Charterers agree not to circumvent Seavium’s involvement once a connection is made through the platform.
– Commission: A base rate of 1.5% commission applies to all transactions unless a higher plan is agreed upon in writing or via a separate contract.
7. Cancellation and Termination – Cancellation: Users may cancel their Seavium account by contacting Seavium directly. – Termination: Seavium reserves the right to terminate any account in cases of fraud, non-compliance with the terms, or at Seavium’s sole discretion.
8. Limitation of Liability Seavium is not responsible for any issues or disputes that arise between Charterers and Owners post-transaction. The platform is provided on an “as-is” basis, and Seavium makes no guarantees or warranties regarding the outcome of any transaction or interaction facilitated through the platform.
Seavium will not be held liable for any damages, losses, or disputes arising from the misuse of the platform or from external forces, including, but not limited to, weather conditions, legal disputes, or force majeure events.
9. Data Privacy and Protection Seavium adheres to all relevant data protection regulations. Please refer to our Privacy Policy for further details on how we collect, store, and process personal data.
10. Payments and Billing Payments for vessel charters are handled directly between the Charterer and the Owner. Seavium does not handle payments directly and will never request online payments from users. All payments from Ship Owners and Brokers related to platform subscriptions are handled through SEPA wire transfers and official contracts.
11. Intellectual Property All content on the Seavium platform, including images, branding, and technology, is the intellectual property of Seavium. Seavium reserves the right to remove or change any content upon request. Seavium will also comply with takedown requests from legitimate rights holders.
12. Governing Law These Terms and Conditions are governed by the laws of France, and any disputes shall be resolved in the courts of Marseille.
13. Amendments to the Terms Seavium reserves the right to modify these Terms and Conditions at any time. Users will be informed of any changes and continued use of the platform constitutes acceptance of the updated Terms.
14. Agreement By using Seavium, you agree to abide by these Terms and Conditions and any other legal agreements made through the platform.
